(EXCLUDING GUAM, PUERTO RICO, AND ALL OTHER U.S. TERRITORIES AND POSSESSIONS) OR CANADA (EXCLUDING THE PROVINCE OF QUEBEC) AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY. PLEASE DO NOT PROCEED IF YOU ARE NOT A CURRENT LEGAL RESIDENT OF ONE OF THOSE AREAS. THIS SWEEPSTAKES SHALL BE CONSTRUED AND GOVERNED ACCORDING TO THE LAWS OF THE U.S.
1. SWEEPSTAKES DESCRIPTION
The Ultimate Search for Bourne with Google (the "Sweepstakes") begins at 12:00:01 a.m. Eastern Daylight Time ("EDT") on July 16, 2007, and ends at 11:59:59 p.m. EDT on August 3, 2007 ("Sweepstakes Period"). Each weekday during the Sweepstakes Period, one (1) new mission ("Game") will be introduced. Google account holders who are registered participants in the Sweepstakes and who log in on any given day to play (“Entrants”) will be automatically entered for that day’s daily drawing (“Daily Sweepstakes”); that week’s city prize drawing(s) (“City Prize Sweepstakes”); and be entered into the overall Grand Prize drawing (“Grand Prize Sweepstakes”). In addition, Entrants who complete Game play missions, or who submit a sightings mail entry (see below), accrue surveillance camera sightings to be eligible for the sightings drawing, (“Sightings Sweepstakes”). Games are subject to game play instructions and mission tools ("Game Play Instructions"). Entrants need not complete each Game in order to obtain an Entry for that day’s Daily Sweepstakes; for that day’s City Prize Sweepstakes; and for that day’s Entry for the overall Grand Prize Drawing, however, Entrants can go back to previous Games to complete missions in consecutive order to obtain points online for the Sighting Sweepstakes. Tools and mission hints will be available to assist in prior daily Game completion. There are no fees associated with creating a Google account or entering the Sweepstakes. Google’s computer is the official time clock of the Sweepstakes.
2. ELIGIBILITY
The Sweepstakes is open only to persons 18 years of age or older as of the date of entry, who are legal residents of the 50 states of the U.S., Washington D.C. (excluding Guam, Puerto Rico, and all other U.S. territories and possessions) or Canada (excluding the province of Quebec) who are physically located therein and who have successfully created a Google account. If a prospective Entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering this Sweepstakes. Employees, officers, and directors of Universal City Studios, LLLP ("Sponsor"), Google Inc., Volkswagen of America, Inc., MasterCard, and their advertising or promotion agencies, Sweepstakes administrator, internet server(s) and access provider(s), car dealership personnel, those involved in the production, development, implementation or handling of this Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parents, affiliates, and subsidiaries, licensees, service providers, and any other person or entity associated with this Sweepstakes (collectively, the "Sweepstakes Entities"), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.
3. HOW TO ENTER
Current Google account holders can enter by accessing www.google.com/bourne (“Web Site”), logging into their Google account by entering his/her email address and password, clicking on the Agent Console link and following the online mission instructions for that day’s Game. For prize notification and prize fulfillment purposes, prior to Game play, the prospective entrant will be prompted to complete his/her Sweepstakes registration information consisting of his/her first and last name, complete home address including city, state/province and ZIP/postal code (no P.O. boxes), daytime telephone number (including area code), email address, date of birth and acknowledge acceptance of the Official Rules (“Sweepstakes Registration”). Sweepstakes Registration need only be completed the first time the Entrant participates and need not be completed again. Once the Registration information is submitted, the participant will then click on the Agent Console link and follow the online mission instructions to enter that day’s Game. Prospective Entrants who do not have a Google account must first access the Web Site and follow the online instructions to create a Google account. Information required for a Google account consists of your email address, choice of password, geographic location, word verification (for security purposes) and agreement to the Web Site’s Terms of Service (“Google Account Information”). Once the account is complete, the prospective entrant will enter his/her email address and password, follow the online instructions for Sweepstakes Registration (as stated above), then click on the Agent Console link and follow the online mission instructions to enter that day’s Game. By logging in, on any given day during the Sweepstakes Period, Entrant(s) may obtain one (1) Entry into that day’s Daily Prize Sweepstakes (“Daily Prize Period), one (1) Entry into the City Prize Sweepstakes during the City Prize entry period (“City Prize Entry Period”) and one (1) Entry into the overall Grand Prize Sweepstakes for that day (as stated in the Entry period chart below). Entrants need not complete each Game in order to obtain an Entry for that day’s Daily Sweepstakes; that particular City Prize Sweepstakes; or to obtain that day’s Grand Prize Drawing Entry. Entrant(s) must complete each daily Game in order to be allowed to complete the next day’s Game and subsequent daily Games for Entries submitted online for the Sighting Sweepstakes. Tools and mission hints will be available to assist in prior daily Game completion. Entrants have the opportunity to play all prior Games during the Sweepstakes Period only to accrue Sightings points and will not be able to obtain an Entry for the Daily Prize, for the City Prize, or for the Grand Prize for that day if that Daily Sweepstakes Entry Period has expired (per chart below). Once each Entrant has logged in to play the Game from the Agent Console for a given individual Daily Sweepstakes, Entrant will receive one (1) entry into that day’s individual non-consecutive Daily Sweepstakes; one (1) Entry into that week’s City Prize Sweepstakes; and one (1) Entry into the overall Grand Prize Sweepstakes (collectively “Online Entries”). Once a given Daily Sweepstakes has been posted, Entrants may participate by registering and/or playing that daily Game and may enter any previously posted Games to obtain Online Entries into the Sightings Sweepstakes. Each Entrant has the opportunity to obtain surveillance points for every day’s Game play(s), if completed. Entrant(s) who obtain surveillance points that fall in the range from twenty-five (25) to thirty-two (32) points online during the Sweepstakes Period will automatically receive one (1) entry (“Sightings Internet Entry”) into the Sightings Sweepstakes. To enter the Sightings Sweepstakes by mail without Game play, legibly hand-print your first and last name, complete home address (including street address, city, state/province and zip code/postal code), date of birth, telephone number (including area code), email address and the surveillance code name “Sighting Mission” on a postcard (no larger than 6” x 8”) and mail, with proper postage affixed to: The Ultimate Search for Bourne with Google, P.O. Box 10301, Burbank, CA 91510 (“Sightings Mail Entry”). Each Sightings Mail Entry submitted will receive thirty-two (32) surveillance points (the maximum number of points obtainable by Game play) equaling one (1) Entry into the Sightings Sweepstakes. Online Entries for each Daily Sweepstakes and Grand Prize Drawing must be received by 11:59:50 p.m. EDT during that day’s date; Sightings Internet Entries must be received by 11:59:59 p.m. EDT on August 3, 2007; and Sightings Mail Entries must be postmarked by August 4, 2007 and received by August 10, 2007 (collectively “Entries”). Limit one (1) Entry per person/email address per day’s individual non-consecutive Daily Sweepstakes; limit up to four (4) Entries per person/email address per City Prize Sweepstakes #1; limit up to three (3) Entries per person/email address per City Prize Sweepstakes #2; limit up to four (4) Entries per person/email address per City Prize Sweepstakes #3; limit up to four (4) Entries per person/email address per City Prize Sweepstakes #4; limit one (1) Entry per person/email address per Sightings Prize Sweepstakes regardless of method of entry; and limit up to fifteen (15) Entries per person/email address during the Sweepstakes Period for the overall Grand Prize Sweepstakes. Entrants can only enter this Sweepstakes under one (1) e-mail address. Once an email address has been used by an Entrant, that email address cannot be used by any other person for this Sweepstakes. Only the Entrant entered under a particular email address may participate in this Sweepstakes. Universal City Studios, LLLP will be solely responsible for the monitoring the administration of the Games and its decisions in such regard will be final and binding. All Google Account Information, Sweepstakes Registration information and Sightings Mail Entry Information must be completed in full (collectively “Entry Information”). Proof of transmittal of Entries as set forth in these Official Rules will not be deemed by Sponsor as proof of Entry into this Sweepstakes. Multiple Entries by the same person in excess of the limits stated herein will be disqualified. Proof of delivery or receipt of Entries will not be deemed by Sponsor as proof of Entry. Any attempted form of Entry other than as described herein is void. Once an email address has been registered by an Entrant, that email address cannot be used by any other person.

4. PRIZES
Fifteen (15) Daily MasterCard Prizes (one per day for fifteen (15) days): One (1) daily prize winner per day will be awarded a one-thousand dollar ($1,000) MasterCard Gift Card, Approximate Retail Value (“ARV”) $1,000 each (“Daily MasterCard Prize”). Total ARV of Daily MasterCard Prizes: $15,000. One hundred –fifty (150) Daily DVD Prizes (ten (10) per day for fifteen (15) days): Ten (10) daily prize winners per day will each receive a 3-disc “The Bourne Files” DVD (ARV $22.98 each) (“Daily DVD Prize”). Total ARV of Daily DVD Prizes: $3,447. Four (4) City Prizes (one City Prize per City Prize Entry Period): Four (4) city prize winners will each receive their choice (subject to Sponsor’s final approval) of one (1) of the following travel prize destinations: a trip for winner and one (1) guest to Paris, France which consists of roundtrip, coach-class airfare from an airport near winner's residence to Paris (as determined by Sponsor in its sole discretion), five (5) nights standard accommodations at a 3 star or better hotel (single room, double occupancy) (actual hotel to be determined by Sponsor in its sole discretion), and ground transportation to/from airport/hotel in Paris (ARV $4,665) (“Paris City Prize”); OR a trip for winner and one (1) guest to London, England which consists of roundtrip, coach-class airfare from an airport near winner's residence to London (as determined by Sponsor in its sole discretion), five (5) nights standard accommodations at a 3 star or better hotel (single room, double occupancy) (actual hotel to be determined by Sponsor in its sole discretion), and ground transportation to/from airport/hotel in London (ARV $4,665) (“London City Prize”); OR a trip for winner and one (1) guest to New York, New York which consists of roundtrip, coach-class airfare from an airport near winner's residence to NYC (as determined by Sponsor in its sole discretion), five (5) nights standard accommodations at a 3 star or better hotel (single room, double occupancy) (actual hotel to be determined by Sponsor in its sole discretion), and ground transportation to/from airport/hotel in NYC (ARV $2,682) (“New York City Prize”); OR a trip for winner and one (1) guest to Madrid, Spain which consists of roundtrip, coach-class airfare from an airport near winner's residence to Madrid (as determined by Sponsor in its sole discretion), five (5) nights standard accommodations at a 3 star or better hotel (single room, double occupancy) (actual hotel to be determined by Sponsor in its sole discretion), and ground transportation to/from airport/hotel in Madrid (ARV $5,165) (“Madrid City Prize”); OR a trip for winner and one (1) guest to Tangier, Morocco which consists of roundtrip, coach-class airfare from an airport near winner's residence to Tangier (as determined by Sponsor in its sole discretion), five (5) nights standard accommodations at a 3 star or better hotel (Single room, double occupancy) (actual hotel to be determined by Sponsor in its sole discretion), and ground transportation to/from airport/hotel in Tangier (ARV $5,950) (“Tangier City Prize”) (collectively City Prize(s)”). Total ARV of City Prizes range from $10,728 to $23,800.Ten (10) Sightings Prizes: Each sightings prize winner will receive one (1) Apple iPhone (ARV $500 each). (Sightings prizes are the actual iPhone only and service/activation not included) (“Sightings Prize”). Total ARV of Sighting Prizes: $5,000. One (1) Grand Prize: Grand prize winner will receive: (A) one (1) multi-destination consecutive trip for winner and one (1) guest to their choice (subject to Sponsor’s final approval) of four (4) destinations from the following five (5) options: Paris, France; London, England; New York, New York; Madrid, Spain; and/or Tangier, Morocco. Multi destination trip consists of roundtrip, coach-class airfare from an airport near winner's residence (as determined by Sponsor in its sole discretion) to and between each of the four (4) destinations chosen (travel to be booked in one consecutive trip); three (3) nights standard accommodations at each destination at a 3 star or better hotel (Single room, double occupancy) (actual hotel(s) to be determined by Sponsor in its sole discretion), and ground transportation to/from airport/hotel in each destination (ARV ranges from $14,000 to $15,000 depending on the destinations) (“Grand Prize Trip”); and (B) one (1) 2008 Touareg 2 as seen in The Bourne Ultimatum featuring: V6 engine, black on black leather interior, steel foot pedals, 19” VW alloy wheels, front and rear skid pads, roof edge rear spoiler, and park distance control. Actual vehicle awarded not the vehicle shown in the film, The Bourne Ultimatum (“Film”) (ARV $51,302) (“Grand Prize Vehicle”); and (C) a $25,000 cash prize (awarded in the form of a check in U.S. currency to Grand Prize winner) (ARV of the Grand Prize Cash Award $25,000 (“Grand Prize Cash Award”). Total ARV of Grand Prize up to: $91,302. Total ARV of all prizes up to $138,549. Odds of winning a Daily Prize depends on the total number of eligible Online Entries received for that Daily Sweepstakes Entry Period. Odds of winning a City Prize depends on the total number of eligible Online Entries received for each of the City Prize Entry Periods. Odds of winning a Sighting Prize, depends on the total number of Online and Mail Entries received during the entire Sweepstakes Period. Odds of winning the Grand Prize depends on the total number of eligible Online Entries received for the entire Sweepstakes Period. Limit one (1) prize per person/family/household. Any depictions of prizes are for illustrative purposes only. No substitution, transfer, or cash equivalent for a prize (or prize component) except that Sponsor, at its sole discretion, may substitute a prize (or prize component) with a prize of equal value, due to unavailability of prize/prize component for any given prize. All monetary values are expressed herein are U.S. Dollars; Sponsor reserves the right to structure travel route(s) in its sole discretion. ARV for the City Prize(s) and Grand Prize Trip varies depending upon the point of departure, fare fluctuation; any differences will not be awarded. City Prize(s) and Grand Prize Trip travel must be completed within one year of the notification of winning or prize or any unused portions of prize will be forfeited. A minimum of twelve (12) weeks advance travel notice is required for City Prize(s) and Grand Prize Trip. Travel arrangements will be made through the travel coordinator designated by Sponsor. Grand Prize airline and flight times to be selected by air supplier at its sole discretion. City Prize(s) and Grand Prize Trip winners and guests must travel together on same itinerary. City Prize(s) and Grand Prize Trip air transportation, hotel accommodations and ground transportation must be taken together and cannot be taken separately. Airline tickets issued are not eligible for frequent flyer miles, and no code-share flights may be used. Prize components cannot be used in conjunction with any other promotion or offer, and no portion may be separated except at Sponsor's sole discretion. City Prize(s) and Grand Prize Trip winner and his/her travel guests are solely responsible for obtaining all necessary travel documents including passports and visas as well as any necessary immunizations. IMPORTANT NOTICE REGARDING NEW PASSPORT REQUIREMENTS FOR INTERNATIONAL TRAVEL: As of January 8, 2007, the U.S. State Department is requiring ALL international travelers to present a government issued passport for U.S. Customs re-entry after air, land or sea travel. For more information please visit the State Department's consular website www.travel.state.gov or the U.S. Department of Homeland Security's website www.dhs.gov. City Prize(s) and Grand Prize Trip are subject to air/hotel availability, holiday and blackout dates, and other conditions and restrictions provided by prize coordinator/supplier. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates, or gift cards to City Prize, Grand Prize and/or MasterCard Prize winners. Once City Prize(s) and Grand Prize Trip dates have been booked, no change of dates, change of guest, extension or substitution of trip dates is permitted, except at Sponsor's sole discretion. If City Prize winner(s) and/or Grand Prize Trip winner is a resident of a jurisdiction that deems him/her to be a minor, his/her parent/legal guardian must accompany him/her, and such person must be deemed the travel guest. If guest(s) of the City Prize winner(s) and/or Grand Prize Trip winner is a resident of a jurisdiction that deems him/her to be a minor, his/her parent/legal guardian must accompany him/her, and be determined to be the City Prize(s) and/or Grand Prize Trip winner. If City Prize winner(s) and/or Grand Prize Trip winner elects to travel alone, or not partake in any provided prize component, no additional compensation will be awarded. All other costs associated with accepting, redeeming and using prize(s) are the sole responsibility of the City Prize and/or Grand Prize Trip winners and the City Prize and Grand Prize Trip winner's guests, including but not limited to, any unspecified air and ground transportation, and other like transportation, accommodations, state, local and a country’s government surcharges & entry fees, travel insurance, excursions, gratuities, incidental expenses, drinks, unspecified meals, licenses, registrations, telephone calls, fees or charges for changing dates, and trip and travel insurance premiums (trip and travel insurance is not included). Travel, vehicle or merchandise shown in any promotion material may not be actual travel, vehicle or merchandise awarded. Sponsor will provide instructions to the Grand Prize Vehicle winner to obtain vehicle at a dealership or other specified location near his/her residence, to be designated by Sponsor at its sole discretion. Vehicle only delivered in the U.S., D.C., or Canada (excluding the province of Quebec) and winner will take delivery of vehicle from an authorized VW dealer located and designated by Sponsor near winner’s residence. Grand Prize Vehicle winner will be required to personally retrieve vehicle and is solely responsible for his/her transportation and related costs associated with collecting vehicle. Sponsor will use reasonable efforts, subject to availability, to deliver vehicle within 90 days of receipt of completed Affidavit/Release (defined below). Sweepstakes Entities are not responsible for delays in delivery. Grand Prize Vehicle winner will be required to present adequate personal identification (valid U.S. or Canadian driver's license), evidence of automobile insurance (if required by law), and any other required information/documents before he/she may take possession of vehicle. Grand Prize Vehicle winner bears risk of damage to vehicle after delivery to specified location and vehicle will be forfeited if he/she fails to arrange for or accept delivery of vehicle within 30 days of notification that his/her vehicle is available. Vehicle prize winner is solely responsible for all title and license fees, registration fees, E.P.A. tax or fee, insurance, options/upgrades, and all other costs incurred in claiming, registering, delivery or ultimate use of the vehicle, other than specified in these Official Rules. Color, features and components of Grand Prize Vehicle awarded to be determined by Sponsor at its sole discretion. Sweepstakes Entities make no representations or warranties with respect to Grand Prize Vehicle; the sole warranty is the manufacturer's standard new car warranty that accompanies the vehicle at time of delivery. MasterCard Gift Card cannot be exchanged/redeemed for cash or combined with any other offer and is subject to activation and expiration requirements as well as stated terms and conditions. All expenses not specifically mentioned as being included (e.g., any required installation, requested upgrades/options, or any applicable customs fees to Canadian winners) are excluded and are each winner’s sole responsibility. All federal, state, or other tax liabilities arising from the Sweepstakes will be the sole responsibility of winner(s). Winners awarded a prize of $600 or more in value will be issued an IRS Form 1099 from the Sponsor’s designee for the total ARV the prize awarded as stated above that he/she won in the calendar year won. Itineraries and/or prize components requiring shipping will be shipped to U.S., D.C., or Canada (excluding the province of Quebec) addresses only. Sweepstakes administrator is not the supplier or guarantor of any prize.
5. DRAWINGS AND NOTIFICATION OF WINNERS
Potential winners will be randomly selected in a series of drawings on or about August 17, 2007 from among all eligible Entries received for that particular drawing conducted by Sweepstakes administrator, an independent judging organization. Daily MasterCard Prize winners, City Prize winners, Sighting Prize winners and Grand Prize winner, (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by telephone of his/her potential winner status within two (2) weeks of the drawing date. DVD Prize winners (their parents/legal guardians if residents of a jurisdiction that deems them to be minors) will be notified by mail within two (2) months of the drawing date. If a potential winner cannot be reached after a reasonable effort has been exerted during three (3) business days from the date of the call, if he/she is found to be ineligible, if his/her prize or prize notification is returned as undeliverable, or if he/she cannot or does not comply with these Official Rules, winner(s) will be disqualified and an alternate winner(s) may be selected at Sponsor’s sole discretion.
6. WINNER REQUIREMENTS
Daily MasterCard Prize winners, City Prize winners, Sighting Prize winners and Grand Prize winner will be required to execute (and have notarized) an Affidavit of Eligibility, a Liability Release, (where legal) a Publicity Release, IRS Form W-9, and any other documentation Sponsor may require (collectively “Affidavit/Release”), which, among other functions, releases Sweepstakes Entities from any and all liability. Affidavit/Release must be signed, notarized, and returned using the provided pre-paid envelope, within five (5) days from receipt by winner(s) or winner(s) will be disqualified. By returning the completed Affidavit/Release, potential winner(s) attests to the authenticity of his/her winning entry. If applicable, each winner’s selected travel guest (his/her parent/legal guardian, if he/she is a resident of a jurisdiction that deems him/her a minor) must execute (and return within five (5) days of receipt by such designee) a Liability Release and a Publicity Release (“Travel Guest Release”). If a Canadian resident is selected as a potential winner, to comply with Canadian law he/she must correctly answer a time based, mathematical skill-testing question to be eligible for a prize.
7. GENERAL CONDITIONS AND DISCLAIMERS
This Sweepstakes is subject to these Official Rules and all applicable federal, state, and local laws. By entering this Sweepstakes, Entrants agree to waive any right to claim any ambiguity or error in the Official Rules of the Sweepstakes, or the Sweepstakes itself, and agree to be bound by these Official Rules and by all decisions of the Sponsor and Sweepstakes administrator, whose decisions are binding and final in all respects. If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site / mission tools associated therewith (or any portion thereof) becomes corrupted or does not allow the proper play of the Sweepstakes and processing of Entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsor’s sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserves the right, at their sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. Any person attempting to defraud Sponsor or tamper with Sweepstakes in any way will be prosecuted to the full extent permitted by law and will not be eligible for a prize. Winner’s information will be shared with respective Sweepstakes Entities solely for purposes related to the Sweepstakes and for no other reason. Sponsor has the right to use, assign or dispose of Entries however it sees fit without approval of, notice to or compensation to, Entrants or any third party. Entrants (or their parents/legal guardians if minors) agree to indemnify and hold harmless each of the Sweepstakes Entities from any and all liability resulting or arising from use of any submitted Entry. Sponsor will not provide any personally identifying information of minors, regardless of its source, to any third party without the express written consent of entrant’s parent/legal guardian. Additionally, if an entrant chooses to opt-in to a specific offer from a participating Sweepstakes Entity, his/her personal information will be subject to that Sweepstakes Entity’s privacy policy and terms of service (if applicable), and such entrant agrees to receive additional email communication from that particular Sweepstakes Entity. Sponsor is in no way responsible for any independent offers from the Sweepstakes Entities. Opting in to specific offers does not improve one’s chances of winning. In case of a dispute over the identity of an Entrant who submitted a winning Entry online, the authorized account holder of the email address account associated with that winning Entry will be deemed the winner. By entering the Sweepstakes, entrants affirm that they have read and accepted these Official Rules. In the event of a technological error, all prizes will be awarded in a manner consistent with the spirit of the Sweepstakes Official Rules. Entrants agree to release all rights to bring any claim, action, or proceeding against the Sweepstakes Entities. Entrants further acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize. Entrants agree to indemnify, defend and hold harmless each of the Sweepstakes Entities from and against any and all liability, damages, costs, attorneys fees, claims, causes of action, and proceedings, incurred with regard to any claim by any person(s) in connection with any and all of the rights and benefits conferred by Entrant upon the Sweepstakes Entities in these Official Rules. Each winner also agrees that Sweepstakes Entities maintain no control over the personnel, equipment or operations that may be used in association with a prize (including but not limited to travel related prizes), or other person or entity furnishing services, or products as part of the prizes awarded in this Sweepstakes, because all of these suppliers are independent contractors. Entrants further acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize. Notwithstanding the foregoing, for merchandise prizes, the prize will be awarded with the written warranty of the product manufacturer (if applicable).
8. GOVERNING LAW, JURISDICTION, ARBITRATION
Any controversy or claim arising out of or relating to (i) the Sweepstakes (including without limitation, its administration and judging), (ii) the awarding or redemption of any prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation, shall be governed by and construed in accordance with the substantive laws of the State of California without giving effect to any choice of law or conflict of law rules.. Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability or interpretation shall be submitted to final and binding arbitration, to be held in Los Angeles County, California, before a single arbitrator, in accordance with California Code of Civil Procedure §§ 1280 et seq. The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute. The arbitration shall be a confidential proceeding, closed to the general public. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator's award is based. The parties will share equally in payment of the arbitrator's fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys' fees and other expenses to the same extent as if the matter were being heard in court). Nothing in this paragraph shall affect the ability of Sponsor or any of its affiliates to seek from a court injunctive or equitable relief at any time.
9. RELEASE AND LIMITATIONS OF LIABILITY
Sweepstakes Entities shall not be liable to winner(s) or any other person for failure to supply the prize(s) or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Releasees’ sole control. By participating in the Sweepstakes, entrants agree to release and hold harmless the Sponsor, Universal City Studios LLLP, their respective affiliates, subsidiaries, parent and related companies, advertising and promotion agencies and any other companies associated with the design, administration or promotion of the Sweepstakes, as well as their respective officers, directors, employees, shareholders and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation or inability to participate in the Sweepstakes or receipt or use or misuse of any prize or parts thereof, including, but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors, failures or viruses related to computers, servers, providers, or telephone or network lines; (c) typographical or other production errors; (e) errors in the administration of the Sweepstakes or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation or attempt at participation in the Sweepstakes or receipt or use of a prize or any prize component. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, if any, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
